Maine makes that worth something. Getting an LLC onto the books here means filing a Certificate of Formation, which is what 31 M.R.S. ยง 1531 calls the document rather than Articles of Organization, on Form MLLC-6 for $175. That is the part to plan around. Nobody sits down on the conversion date and evaluates providers. A card gets charged, the charge is not large enough to investigate, and it repeats annually from there. Put the end date in your calendar the day you order, because that is the day you actually choose.

Every Step of the Maine Handover Away From Bizee
Maine runs this on paper, which surprises people, but it is a short piece of paper.
- Sign with a replacement agent. Maine will take a commercial agent carrying a state listing, or a noncommercial one holding a physical Maine street address and reachable in business hours. A PO box does not qualify. We meet the requirement either way.
- Fill out Form CLK/RA 3, Maine's combined clerk and registered agent appointment sheet. One form serves LLCs, corporations, and foreign entities, and the boxes want your entity name, the charter number, and details for whoever is taking over. Enroll with us and we hand you ours already filled in.
- Mail it with $35. That is the for-profit rate and every LLC pays it. A smaller fee sits printed beside it on the form for Title 13-B nonprofit corporations, and it is not yours. Address the envelope to the Division of Corporations, UCC and Commissions, Maine Secretary of State. Add $50 for next-day or $100 for same-day if timing is tight.
- Watch the state record. Once it shows the new agent, the change is live and documents start routing to us.
- Cancel Bizee last. Not first, and not at the same time.
That final step is the one people get wrong. Bizee remains your agent of record until the Division processes the form, and the form itself will not accept a blank where the new agent goes, so there is no version of this where you end up briefly unrepresented unless you create one by cancelling early.
Best time to run it? Inside the free window. Maine imposes no waiting period and no filing season on this, so month two works exactly like month twenty, and going early means the $149 never posts.
